Terms for Event Organizers

The Brazilian Portuguese (pt-BR) version is the authoritative legal text. This English translation is provided for convenience; in the event of any conflict, the Portuguese version prevails.

These Terms for Organizers ("Terms") govern the relationship between nottepass Tecnologia Ltda., enrolled under CNPJ No. 51.890.784/0001-01 ("nottepass", "we"), and the individual or legal entity that uses the platform to create, advertise, and sell Tickets and Products for Events ("Organizer", "you"). By creating an Organizer profile, registering an Event, or using the management panel ("Panel"), you declare that you have read, understood, and fully agreed to these Terms.

These Terms supplement the Terms of Use, the Privacy Policy, and the Refund Policy. In the event of any conflict regarding the relationship with the Organizer, these Terms prevail.

1. Definitions

  • Organizer: the individual or legal entity that uses nottepass to create Events, manage the sale of Tickets and Products, and receive the corresponding amounts;
  • Event: a party, show, performance, or any happening advertised and sold through the platform;
  • Ticket: an entitlement to access the Event, represented by a unique QR Code;
  • Product: a non-ticket item sold by the Organizer in the context of the Event (for example: drinks, food, combos, and consumption or merchandising items), also represented by a unique QR Code or voucher to be redeemed/validated at the Event;
  • Panel: the management interface made available to the Organizer (Events, team, reports, transfers, and withdrawals);
  • Team: the members (gate staff, validators, sellers, managers) added by the Organizer, with granular permissions;
  • Transfer: the credit, to the Organizer's balance, of the proceeds of sales, less the Service Fee;
  • Balance: the amount available to the Organizer on the platform arising from sales;
  • Withdrawal: the transfer, requested by the Organizer, of the available Balance to their bank account;
  • Gateway: the partner payment provider (Pagar.me) that processes transactions, sets up recipients, and executes transfers and withdrawals;
  • KYC (Know Your Customer): the identity verification process required to enable the receipt of funds.

2. Nature of the service — nottepass is an intermediary

nottepass is a technological intermediary. It is neither the Organizer of the Events nor the supplier of the Products. nottepass provides the infrastructure that allows the Organizer to create, advertise, and sell Tickets and Products, and acts as a facilitator of payment processing through the Gateway.

As a result:

  • The Organizer is solely responsible for holding the Event, for the delivery and quality of the Products, for the infrastructure, safety, and access conditions, and for compliance with all applicable law;
  • Sales proceeds belong to the Organizer; nottepass merely intermediates the technology and the transit of funds, less the Service Fee;
  • nottepass is not liable for cancellation, postponement, change, frustration, quality, or execution of the Event and the Products;
  • Consumer complaints about the Event or the Products must be addressed to the Organizer, without prejudice to the legal guarantees of the Consumer Protection Code.

3. Registration and identity verification

3.1 Requirements

  • Be at least 18 years of age (individual) or hold proper legal representation (legal entity);
  • Provide valid and truthful tax documentation (CPF or CNPJ);
  • Keep bank details up to date and held in your own name for receiving funds;
  • Agree to identity verification (KYC) and to the anti-fraud procedures required by nottepass and the Gateway.

3.2 Identity verification (KYC)

The release of the receipt of funds and of Withdrawals is conditional upon approval of the identity verification of the Organizer (or of its legal representative and the holder of the receiving account). nottepass may, at any time, request additional documents and information to confirm identity, ownership, and regularity, and may suspend receipts and withdrawals while verification is pending or has been rejected.

3.3 Multiple organizations

A single user may maintain multiple Organizer profiles (for example, for different companies). Each profile has isolated data, team, Events, and Balance.

4. Organizer's responsibilities

4.1 Holding the Event

The Organizer is solely responsible for:

  • Holding the Event as advertised;
  • Obtaining all necessary licenses, permits, authorizations, and contracts (Fire Department, health surveillance, city hall, ECAD, hiring of acts, security, fire brigade, and medical staff, among others);
  • Compliance with applicable law (Sports Fan Statute, age-rating, accessibility, health and safety standards);
  • Assessing and paying all taxes levied on the sale and the holding of the Event;
  • Serving the end consumer, including responding to questions and complaints about the Event and the Products.

4.2 Accuracy of information

The Organizer warrants that all registered information (date, venue, acts, description, prices, sale conditions, and the Event's specific policy) is true, up to date, and corresponds to the Event that will actually take place. Disclosure of false or misleading information authorizes the immediate suspension of the Event and the account.

4.3 Prohibited content

It is strictly forbidden to register Events or Products that:

  • Promote unlawful activities, discrimination, violence, or hate;
  • Infringe copyrights, trademarks, image rights, or any third-party rights;
  • Constitute fraud, money laundering, a scam, or a pyramid scheme;
  • Market unlawful goods or services, or goods whose consumption is prohibited to the Event's audience;
  • Have no real confirmation of being held (a "phantom" Event).

nottepass may suspend or remove suspicious Events and Products, without prior notice, upon risk analysis.

5. Tickets, Products, and conformity

5.1 QR Codes and single validation

Both Tickets and Products sold through the platform generate unique QR Codes/vouchers, to be validated or redeemed at the Event by the Organizer's Team. Each QR Code has single-use validation: after the first use, new attempts with the same code are automatically refused by the platform. Decisions on admission, refusal of entry, and delivery of Products are exclusive to the Organizer and its Team.

5.2 Quality and conformity of the Products

The Organizer is fully and exclusively responsible for the Products it markets. The Organizer warrants that the Products delivered to the consumer:

  • Faithfully match what was advertised (type, brand, quantity, volume, and description);
  • Are within the expiration date, intact, not adulterated, and fit for consumption;
  • Are stored, handled, and supplied in compliance with applicable health and safety standards, by suitable staff and in suitable facilities.

The Organizer is exclusively liable for defects, harm to health, poisoning, allergic reactions, and any damage arising from the Products, releasing nottepass from any liability, since nottepass does not supply, produce, store, handle, or deliver Products — it acts only as a technological means of sale and of issuing the QR Code/voucher. Supplying an expired, adulterated, or unfit Product is a serious breach of these Terms and authorizes the immediate suspension of the Event and the account, without prejudice to legal sanctions.

6. Courtesies, coupons, and restricted batches

The platform offers the Organizer issuance and access-control tools that are configured and operated exclusively by the Organizer and its Team. The Organizer is solely responsible for the correct configuration and use of these tools, being liable for any abuse, fraud, or damage arising from them.

6.1 Manual issuance (courtesies, off-platform sales, and barters)

Tickets and Products may be issued manually by the Organizer and its Team for different purposes — for example, courtesies, sales made outside the platform (in cash, by direct transfer, or another means), and barters (exchange for goods or services). Such issuances do not pass through nottepass's financial system: they generate no Transfer, are not subject to the Service Fee, and nottepass does not receive, process, hold, or transfer any amount related to them.

As a result, with respect to manual issuance:

  • nottepass is not a party to and does not intermediate the sale, courtesy, barter, or any agreement entered into outside the platform, and is not liable for payment, delivery, quality, refund, chargeback, or dispute arising from such transactions;
  • Anyone who receives or acquires a manually issued Ticket or Product outside the platform's payment flow does not establish a contractual or consumer relationship with nottepass and acquires no rights against nottepass — including the right to a refund. Any complaint, return, or dispute is resolved exclusively between that person and the Organizer;
  • The Organizer is solely responsible for off-platform transactions and for the persons to whom it issued items manually, and must issue items only for what was actually agreed and delivered, holding nottepass harmless from any claim by the external acquirer;
  • Because they do not involve the platform's payment control, manual issuances are especially susceptible to abuse by the Team (for example, excessive, unauthorized, or resale-oriented issuance): the Organizer is fully responsible for controlling who is permitted to issue and for the issuances made by its Team.

nottepass may cancel or invalidate Tickets and Products issued in an abusive or fraudulent manner or in breach of these Terms, without this giving rise to any right to compensation for the Organizer or third parties.

6.2 Discount coupons

Coupons (percentage or fixed amount, usage limits, stacking, and validity) are defined exclusively by the Organizer and its Team. The Organizer and the Team are fully responsible for configuring them correctly, without creating loopholes for abuse (for example, a coupon with no usage limit, with an excessive discount, or improperly stackable). Any damage arising from inadequate coupon configuration is the sole responsibility of the Organizer, with no reimbursement owed by nottepass.

6.3 Restricted batches (code-based access)

The Organizer may create restricted batches whose purchase access is unlocked by a code provided by the Organizer. Whoever holds the code has access to purchase from the restricted batch. The distribution, control, and secrecy of the code are the sole responsibility of the Organizer. nottepass is not responsible for the leakage or sharing of the code to unauthorized persons, nor for purchases made by anyone who obtains it.

7. Validation team and minimum staffing

Validation of the QR Codes (of Tickets and Products) is carried out by the Organizer's Team. The Organizer is required to maintain sufficient staff and validation points for the Event's demand, so as to allow queues to clear within a reasonable time and the acquired Tickets and Products to be enjoyed.

As an objective minimum parameter, the Organizer must provide:

  • At least 1 (one) validator for every 500 (five hundred) confirmed participants, observing a minimum of 2 (two) validators per Event;
  • Additional validation point(s) whenever there is a sale of Products for redemption, sized according to the volume of Products marketed, so that the validation of Products does not compromise access control to the Event.

Under-staffing of the Team — a situation in which there is a high volume of QR Codes to validate and an insufficient number of validators for the demand — constitutes a breach of these Terms. In that case, without prejudice to the Organizer's liability to consumers for queues, delays, and prevented access or redemption, nottepass may issue a warning, suspend the Event or the account, and adopt the other measures set out in clause 14.

8. Platform service fee

8.1 Composition

nottepass charges a Service Fee on each Ticket and Product sold, composed of:

  • A percentage of the item's value;
  • The cost of the payment method (card, PIX) passed through by the Gateway;
  • Any fixed per-transaction fees.

The exact composition is displayed in the Panel before the Event is published.

8.2 Absorption or pass-through to the buyer

The Service Fee may be absorbed by the Organizer or passed through to the buyer, according to the Organizer's choice in the Event configuration. The option is displayed to the buyer, transparently, before the purchase is completed.

8.3 Fee changes

Changes to the Service Fee will be communicated at least 30 (thirty) days in advance. Events already published keep the fee in force on the publication date until sales close.

9. Transfer, withdrawal, and schedule

9.1 Transfer schedule

The Transfer to the Organizer's Balance follows the Gateway's schedule, typically:

  • PIX: practically immediate credit after payment confirmation;
  • Credit card and other methods: according to the Gateway's timelines in force at the time (for example, settlement timelines by card brand), possibly subject to advance payment for an additional fee.

The timelines of the Gateway and of financial institutions are external and cannot be controlled by nottepass.

9.2 Withdrawal

Withdrawal of the available Balance may be requested by the Organizer at any time through the Panel, provided that, cumulatively:

  • The Organizer is verified (KYC approved);
  • The situation of the Organizer and of the Event is regular and in compliance with these Terms;
  • The minimum withdrawal amount and the actual availability of the Balance are respected.

The Withdrawal may be subject to transfer costs informed in the Panel. The withdrawal request may go through a processing period and a security check before release.

9.3 Automatic withdrawal blocks

The Organizer acknowledges and expressly authorizes nottepass to apply an automatic and precautionary block on the Withdrawal, as an anti-fraud and consumer-protection measure, in the following situations, among others:

  • When the CPF/CNPJ of the holder of the bank account or of the recipient differs from the holder of the account verified under KYC, or when there is any divergence or inconsistency in the registration, tax, or bank data;
  • In the face of any indication of fraud, scam, irregularity, misuse, or risk, at nottepass's reasoned discretion.

In such cases, the Withdrawal remains blocked and is only unblocked after the Organizer contacts support and the risk assessment is concluded by nottepass. Applying these blocks does not constitute default, breach of contract, or an unlawful act by nottepass.

10. Blocks on Panel modules

In addition to the Withdrawal block, nottepass may apply granular blocks on specific Panel modules (for example, the Withdrawal module) in the face of suspected fraud, registration divergence, a regulatory requirement, an order from an authority, or the Organizer's default. These blocks are proportionate and temporary security measures, do not constitute a breach of contract by nottepass, and are resolved by contacting support and remedying the pending issue.

11. Event cancellation and immediate block

11.1 Automatic and immediate block

In the event of cancellation of the Event by the Organizer, or when nottepass identifies a phantom or fraudulent Event or one posing a relevant risk to buyers:

  • The public Event page and sales are blocked automatically and immediately;
  • The Balance corresponding to the Event's sales is blocked, to guarantee the full refund to buyers.

The page, sales, and Balance are only unblocked after a complete risk assessment conducted by nottepass's support. The Organizer expressly authorizes nottepass to use the blocked Balance to make the refunds owed to buyers.

11.2 Reintegration of funds and judicial action

If the blocked Balance is insufficient to cover all refunds — for example, because the Organizer has already withdrawn the corresponding amounts — the Organizer is obliged to reintegrate (deposit) the missing amount within 5 (five) business days of notification.

Failure to reintegrate the funds authorizes nottepass to, individually or cumulatively:

  • Suspend future Withdrawals and withhold revenue from the Organizer's other Events, for reimbursement;
  • Offset the amounts owed against any credits of the Organizer on the platform;
  • Charge the amount judicially or out of court, plus monetary adjustment, interest, a penalty, and expenses, including by means of judicial action, without prejudice to the applicable civil and criminal liability;
  • Notify competent authorities and consumer protection bodies, where applicable.

The retention and blocking of the Balance in favor of refunding buyers prevail over the Organizer's right to Withdrawal.

12. Team and permissions

The Organizer may add members to its Team with granular permissions defined in the Panel. The Organizer is fully responsible for the acts carried out by its Team on the platform and at the Event, including errors, abuses, or fraud in the validation of Tickets and Products and in the issuance of courtesies, and must revoke access when necessary.

13. Intellectual property and licenses

13.1 Event content

The Organizer declares that it holds all necessary rights over the registered content (images, texts, trademarks, names of acts). The Organizer grants nottepass a non-exclusive, royalty-free license, for the necessary term, to use this content in promoting the Event within the platform and in related marketing campaigns.

13.2 ECAD and copyright

The Organizer is fully responsible for the payment of copyright dues (ECAD) and other obligations relating to the performance of musical, audiovisual, or literary works at the Event.

14. Suspension and termination

nottepass may suspend or terminate the Event and/or the Organizer's account, with or without prior notice depending on severity, in the event of:

  • Violation of these Terms or of the platform's other policies;
  • Well-founded suspicion of fraud, a scam, or unlawful activity;
  • Supply of expired, adulterated, or unfit Products;
  • Abuse in the issuance of courtesies or in the configuration of coupons and restricted batches;
  • Under-staffing of the validation Team (clause 7);
  • Accumulation of relevant unanswered consumer complaints;
  • Repeated and unjustified cancellations of Events;
  • Failure to meet financial obligations to the platform or to buyers;
  • Unresolved registration, tax, or bank divergence.

Precautionary suspension may be applied before the final analysis, in urgent cases or where there is risk to consumers.

15. Limitation of liability and indemnification

nottepass acts exclusively as a technological intermediary. Without prejudice to the legal guarantees of the Consumer Protection Code, nottepass is not liable for:

  • Cancellation, postponement, change, or frustration of Events;
  • Quality, safety, infrastructure, or execution of the Event and the Products, including defects, harm to health, and breach of health standards;
  • Abuse or inadequate configuration, by the Organizer or its Team, of courtesies, coupons, and restricted batches, as well as the leakage of restricted-batch access codes;
  • Sales made outside the platform, barters, and other transactions that do not pass through nottepass's financial system, including as against an acquirer who purchased outside the platform;
  • The Organizer's tax, labor, social-security, copyright, or contractual obligations with third parties;
  • Decisions of the Organizer and its Team on admission, refusal, expulsion, or delivery of Products;
  • Administrative or judicial sanctions applied to the Organizer for violation of the law;
  • Temporary unavailability of third-party services (Gateway, email, infrastructure) or scheduled maintenance;
  • Fortuitous events or force majeure.

The Organizer agrees to hold nottepass harmless and to indemnify it for any and all losses, damages, costs, and expenses (including attorneys' fees) arising from the Event, the Products, breach of these Terms, or violation of third-party rights, as well as from claims by consumers, authorities, or third parties related to its activity.

Where nottepass's liability is recognized, and except for the legal guarantees ensured by the Consumer Protection Code, it shall be limited to the amount of the Service Fee actually received by nottepass in the transaction giving rise to the damage.

16. Processing of personal data (LGPD)

16.1 Roles

  • nottepass is the controller of the registration data of buyers and Organizers processed in the operation of the platform;
  • The Organizer is an autonomous controller of the data it receives to manage its own Event and of the data it collects directly from buyers outside the platform, being independently responsible for the use it makes of such data;
  • For access validation and communication about the Event, nottepass shares with the Organizer the buyer's minimum data: name, email, and phone number (the phone number only when provided).

16.2 Organizer's commitments

The Organizer undertakes to:

  • Process the data received exclusively for validation and communication about the Event;
  • Not share the data with third parties without an adequate legal basis, nor use it for a different purpose;
  • Adopt reasonable security measures compatible with the LGPD;
  • Promptly meet data subjects' requests (access, correction, deletion) and requisitions forwarded by nottepass;
  • Be answerable, before data subjects and authorities, for the processing it carries out as an autonomous controller, holding nottepass harmless.

17. Audit and reports

nottepass makes available to the Organizer reports of sales, transfers, fees, and validations, which can be exported for tax and accounting purposes. The platform's reports constitute proof of the transactions carried out.

The Panel includes an audit page through which the Organizer — and the Team members it has duly authorized — can verify and cancel Tickets and Products, including those issued manually. The Organizer is solely responsible for granting this permission only to trusted members and for all cancellations made through this page, being answerable to buyers and third parties for the consequences of improper cancellations. nottepass merely provides the tool and records the operations for audit purposes, and is not responsible for the use the Organizer and its Team make of it.

18. Changes to the Terms

These Terms may be changed at any time. Material changes will be communicated at least 30 (thirty) days in advance and will require a new expression of consent from the Organizer to continue using the platform. The version history is available upon request.

19. Electronic acceptance

Electronic acceptance of these Terms has full legal validity. The record of acceptance — including date, time, IP address, and device identification — serves as proof of the Organizer's expression of will. Use of the Panel and the creation or management of Events imply full acceptance of these Terms.

20. Jurisdiction and applicable law

These Terms are governed by Brazilian law. The courts of the district of Presidente Prudente, State of São Paulo, are elected to settle any disputes arising from these Terms, with express waiver of any other, however privileged.
